SupplySync Solutions operates an online platform linking freelancers with clients. Freelancers can offer various services such as web development, web design, and art commissions. Clients can purchase these services or hire freelancers for custom projects. These services are collectively referred to in these terms as “projects.”

1.1 Purpose

The purpose of SupplySync Solutions is to provide a secure, user-friendly environment where freelancers can showcase their skills and clients can find the right professionals for their projects. We aim to facilitate smooth transactions and ensure the satisfaction of both parties.

1.2 Platform Features

SupplySync Solutions offers various features including:

  • User Profiles: Users can create detailed profiles showcasing their skills, experience, and portfolio.
  • Project Listings: Freelancers can list their services as Offers or respond to custom project requests from clients.
  • Secure Payment Processing: All transactions are securely processed through our platform.
  • Communication Tools (WorkStream): An integrated messaging system for clear and documented communication between clients and freelancers.
  • Rating and Feedback System: Allows clients and freelancers to rate each other and provide feedback, ensuring transparency and quality.
  • Dispute Resolution Services: A structured process for resolving any disputes that may arise between users.

2. Services

2.1 Service Listings

Freelancers can list their services in two primary formats:

  • Offers: Fixed price services listed by freelancers, where the scope and price are predefined. Offers should include a clear description of the service, deliverables, timeframe, and any other relevant details.
  • Custom Projects: Projects with flexible pricing structures agreed upon by freelancers and clients, allowing for detailed customization based on client needs. Custom projects can be priced per hour, per item, or as a fixed price, depending on the agreement between the freelancer and the client.

SupplySync Solutions does not control whether a project is offered or accepted. Services are provided by freelancers directly to clients, who determine deliverables, price, and other requirements.

2.2 Project Commencement and Delivery

  • Commencement: Clients must pay funds into the Escrow Account upon commencement of a project. This ensures that freelancers have the assurance of payment before beginning work.
  • Delivery: Freelancers must provide regular progress updates and respond to all messages from clients within one (1) working day. They must also deliver work within the agreed delivery timescales. Failure to deliver on time may negatively affect freelancer rankings.

2.3 Payment Terms

  • Invoices: Clients must pay invoices within seven (7) days of receipt. Failure to pay on time may result in penalties or account suspension.
  • Escrow Release: Funds in the Escrow Account will be released to the freelancer once the project is completed and the client is satisfied. Disputes over payment should follow the platform’s dispute resolution process.

2.4 Communication

  • All communication between clients and freelancers must be conducted via the platform’s WorkStream to ensure transparency and protection for both parties.
  • Direct communication outside the platform is not permitted unless expressly allowed by SupplySync Solutions.

2.5 Service Quality

Freelancers are expected to deliver high-quality services that meet or exceed the client’s expectations. Freelancers should:

  • Provide accurate and detailed descriptions of their services.
  • Meet agreed deadlines.
  • Communicate effectively and promptly with clients.
  • Make revisions as needed to ensure client satisfaction.

3. Funds and Payments

3.1 Escrow Account

SupplySync Solutions holds funds in a separate client account for the purposes of settling the provision of services. We are not a bank, and funds held are not insured. No user should hold a dormant balance on the platform for more than 30 days.

3.2 Payment Process

  • Agent Role: SupplySync Solutions acts as an agent of payment between clients and freelancers.
  • Payment Processing: Payments must go through SupplySync Solutions unless otherwise agreed in writing. Attempts to pay outside the platform may lead to account suspension.
  • Release of Funds: Funds held in the Escrow Account are released to the freelancer once the client approves the completion of the project.

3.3 Fees

  • Transaction Fees: The platform may charge transaction fees as specified during the payment process. These fees will be clearly communicated to users before they complete any transaction.
  • Currency Conversion Fees: If a transaction involves currency conversion, a fee may apply. This fee will be displayed to users before they proceed with the transaction.

3.4 Dormant Accounts

  • Users must not hold dormant balances for more than 30 days. SupplySync Solutions reserves the right to apply administrative fees to dormant balances or to write down such balances to zero.

3.5 Financial Security

SupplySync Solutions employs advanced security measures to protect all financial transactions on the platform. Users’ payment information is encrypted and stored securely to prevent unauthorized access.

4. Rights and Licenses

4.1 User Content

Users retain ownership of the content they upload. By uploading content, users grant SupplySync Solutions a non-exclusive, worldwide, royalty-free license to use, display, and distribute the content for platform-related purposes. This license allows SupplySync Solutions to showcase users’ work in marketing materials, promote services, and enhance user profiles.

4.2 Project Deliverables

Once payment has been made, clients are granted all rights for the delivered work, including intellectual property rights unless otherwise agreed in the WorkStream. Freelancers must ensure that all deliverables are original and do not infringe on any third-party rights.

4.3 Freelancer Obligations

  • Quality of Work: Freelancers must deliver high-quality work that meets the client’s requirements. Deliverables must be error-free and adhere to the agreed specifications.
  • Revisions: Freelancers must provide at least two further iterations on the work delivered if the client is not initially satisfied. Revisions should be completed promptly and meet the client’s expectations.

4.4 Client Obligations

 

  • Timely Payment: Clients must ensure timely payment for services received. Delays in payment can negatively impact the freelancer’s ability to deliver quality work.
  • Clear Requirements: Clients must provide clear and detailed requirements at the beginning of the project to ensure that the freelancer understands the scope of work.

5. User Accounts

5.1 Registration

  • Account Creation: Users must register for an account, provide accurate information, and keep their account details updated. Users must be at least 18 years old to register.
  • Personal Accounts: Each account must be personal, but users may operate as a sole trader, company, or other legal entity. Users are responsible for all activities that occur under their account.

5.2 Account Restrictions

SupplySync Solutions may restrict access, block accounts, or issue warnings if users breach these terms, provide unverifiable information, or cause potential loss or liability to the platform or other users. Restrictions can be temporary or permanent, depending on the severity of the violation.

5.3 User Responsibilities

  • Confidentiality: Users are responsible for maintaining the confidentiality of their account information, including usernames and passwords.
  • Account Updates: Users must promptly update their account details if any information changes. This includes contact information, payment details, and professional qualifications.
  • Compliance: Users must use the platform in compliance with all applicable laws and regulations. Illegal activities, fraud, and misuse of the platform are strictly prohibited.

5.4 Account Termination

  • By User: Users may terminate their account at any time by contacting customer support. Upon termination, users must settle any outstanding transactions and obligations.
  • By SupplySync Solutions: We reserve the right to suspend or terminate accounts for violations of these terms or any applicable laws. Users will be notified of the reason for suspension or termination.

5.5 Account Recovery

 

If a user’s account is compromised or they forget their password, they can use the account recovery process provided by SupplySync Solutions to regain access. Users must follow the steps outlined in the recovery process, which may include answering security questions or providing identification.

6. Dispute Resolution

6.1 Dispute Process

  • Initial Resolution: Users should first attempt to resolve disputes directly with the other party through the WorkStream. Clear and documented communication can often resolve issues without further intervention.
  • Escalation: If direct resolution fails, users may escalate the dispute to SupplySync Solutions for mediation. The platform’s dispute resolution team will review the case and provide guidance.
  • Mediation: During mediation, SupplySync Solutions will review the communication and evidence provided in the WorkStream to determine a fair resolution. Both parties must cooperate fully with the mediation process.

6.2 Binding Arbitration

Any unresolved disputes shall be resolved through binding arbitration, in accordance with the laws of the jurisdiction in which SupplySync Solutions operates. Arbitration is a formal process where an arbitrator makes a decision that is binding on both parties.

6.3 Evidence

All dispute resolutions will be based on the evidence provided in the WorkStream and any other relevant documentation. Users should keep detailed records of all project-related communication and transactions.

6.4 Dispute Fees

In some cases, a fee may be charged for initiating a dispute resolution process. This fee will be communicated to the user before the dispute process begins and is intended to cover administrative costs.

7. Cancellations and Refunds

7.1 Cancellation Policy

Clients may request project cancellations and refunds for reasons such as non-response, non-delivery, or poor quality. Refunds are applicable only to funds held in the Escrow Account.

7.2 Refund Requests

Refund requests must be made through the WorkStream, specifying the reason for the request. SupplySync Solutions will review the request to ensure compliance with these terms. If the request is deemed valid, the refund will be processed, and the funds will be returned to the client’s account.

7.3 Penalties

  • Freelancers: Rankings may be penalized for late delivery or project cancellations without just reason. Consistent failure to meet deadlines or provide quality work can lead to account suspension.
  • Clients: Clients may face penalties for cancellations due to changes in their business needs or failure to provide clear requirements. Such actions can affect their standing on the platform.

7.4 Refund and Cancellation Penalties

  • Refunds will impact users’ standing on the platform. Freelancers responsible for refunds due to poor quality or late delivery will see a negative impact on their rankings. Clients responsible for early cancellations will also see a negative impact on their status.

7.5 Project Termination by SupplySync Solutions

SupplySync Solutions reserves the right to terminate a project if it violates these terms and conditions, involves illegal activities, or poses a risk to the platform or other users. In such cases, funds in the Escrow Account may be refunded to the client, and the freelancer’s account may be suspended or terminated.

8. Quality Assurance

8.1 Standards

Freelancers must strive to deliver a high standard of work, appropriately meeting their client’s needs. Deliverables must be:

  • Error-free
  • Fully addressing each of the client’s defined requirements
  • Consistent with the level of expertise indicated in the freelancer’s profile and proposals

8.2 Feedback

  • Client Feedback: Upon project completion, clients are encouraged to provide honest feedback and ratings. This feedback helps other users make informed decisions.
  • Freelancer Feedback: Freelancers can also rate and review clients. This ensures that the platform maintains a high standard of professionalism and accountability.

8.3 Quality Monitoring

SupplySync Solutions reserves the right to monitor the quality of work delivered and may provide feedback to freelancers to help improve their services. Persistent failure to meet quality standards may result in account suspension or termination.

8.4 Continuous Improvement

SupplySync Solutions is committed to continuous improvement. We regularly review user feedback and platform performance to enhance our services and ensure user satisfaction.

9. Privacy Policy

By using SupplySync Solutions, users consent to the processing of their personal data in accordance with the platform’s Privacy Policy and applicable laws.

We collect personal data necessary for the operation of the platform, including name, contact details, payment information, and project details. This data is used to facilitate transactions, improve user experience, and ensure compliance with legal requirements.

All notices and other communications under these terms must be in writing and will be deemed to have been duly given when delivered, if personally delivered; when received, if transmitted by email; the day after it is sent, if sent for next-day delivery by recognized overnight delivery service; and upon receipt, if sent by certified or registered mail, return receipt requested.

  • “Offer”: A fixed price service listed by a freelancer.
  • “Custom Project”: A project with flexible pricing agreed upon by the client and freelancer.
  • “Dispute”: A disagreement between a client and a freelancer regarding a project.
  • “Binding Arbitration”: A method of resolving disputes outside the courts, where the arbitrator’s decision is final and binding.

13. Additional Policies

13.1 Posting Policies

  • Offers Posting Policies: Guidelines for listing fixed price services. Offers must be clear, detailed, and accurately describe the service provided.
  • Projects Posting Policies: Standards for creating and managing custom projects. Project descriptions should be comprehensive, including deliverables, timelines, and pricing.
  • Profile Policies: Requirements for user profiles to ensure accuracy and professionalism. Profiles must include relevant experience, skills, and a portfolio of previous work.

13.2 WorkStream Policies

  • All project-related communication must occur within the WorkStream to ensure transparency and accountability.
  • Users must keep communication professional and relevant to the project. Inappropriate or unrelated messages are prohibited.

13.3 Payment Policies

  • All payments for services must be processed through SupplySync Solutions.
  • Users must report any attempts to circumvent the platform’s payment system. Payments made outside the platform are not protected by our escrow and dispute resolution processes.

14. Compliance and Legal Requirements

14.1 Anti-Money Laundering (AML) Policy

SupplySync Solutions is committed to preventing money laundering and terrorist financing. We comply with all applicable AML regulations and require users to verify their identities as part of our compliance measures.

14.2 Sanctions Compliance

Users confirm that they are not economically barred or limited under sanctions rules of any country worldwide. Users whose circumstances change to be included in such lists must cease using SupplySync Solutions immediately.

14.3 Tax Compliance

Users are responsible for complying with all applicable tax laws and regulations. SupplySync Solutions does not provide tax advice and recommends that users consult with a tax professional.

14.4 Legal Cooperation

SupplySync Solutions will cooperate with law enforcement and regulatory authorities as required by law. This may include sharing user information in response to lawful requests.

15. Dispute Management and Resolution

15.1 Mediation

SupplySync Solutions will mediate disputes between clients and freelancers to help reach a resolution. The mediation process involves reviewing communication and evidence provided in the WorkStream.

15.2 Arbitration

If mediation fails, disputes will be resolved through binding arbitration. The arbitration process will follow the rules of the jurisdiction in which SupplySync Solutions operates.

15.3 Costs

The costs of arbitration will be shared equally between the disputing parties unless otherwise determined by the arbitrator. SupplySync Solutions will not be liable for any costs associated with the arbitration.

15.4 Final Decision

The decision of the arbitrator will be final and binding on both parties. Users agree to comply with the arbitrator’s decision and waive any right to appeal.

15.5 Confidentiality

All dispute resolution proceedings, including mediation and arbitration, will be confidential. Neither party may disclose any information related to the proceedings to third parties without the prior written consent of the other party, except as required by law.
